Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and NEWGEN SOLUTIONS S.R.L. (“Portionly,” “we,” “us”) and govern your use of getportionly.com and the tools on it (the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered from the United States and intended for U.S. users.

2. What the Service is (and is not)

Portionly is a pre-launch product. Today the Service offers a marketing page, an informational Protein-Per-Bite tool, a waitlist, and a Founding Member reservation. The tool provides general nutrition estimates for educational purposes only. It is not medical, nutritional, diagnostic, or treatment advice, and it is not a substitute for a licensed professional. See our Medical Disclaimer, which is incorporated into these Terms.

3. Nutrition estimates and accuracy

Food and protein figures are approximate and drawn from generalized data sources. Actual nutritional content varies by brand, preparation, and portion. Do not rely on the Service for decisions about medication, medical conditions, or clinical nutrition. Always follow your healthcare provider’s and prescriber’s guidance.

4. Waitlist

Joining the waitlist lets us email you about launch. It does not create any obligation on either side and does not guarantee access, pricing, or that the Service will launch.

5. Founding Member reservation

• No charge now. Reserving a Founding Member spot does not collect payment and does not charge you anything at this time.
• Price intent. We intend to offer Founding Members the rate shown at the time of reservation ($4.99/month) if and when the Service launches a paid subscription. This is a good-faith intention, not a guarantee, and is subject to these Terms.
• Before any billing begins. We will contact you and obtain your express consent and payment authorization before any subscription starts or any charge is made.
• Cancel anytime before launch. You may cancel your reservation at any time before billing begins at no cost by contacting us. Once a paid subscription later begins, it will be governed by the subscription terms presented at that time, including clear cancellation instructions consistent with applicable law.
• We may change or end the program. We may modify, delay, or discontinue the Founding Member program, pricing, features, or the Service itself, in whole or in part, at any time before launch.

6. Acceptable use

You agree not to:

• use the Service for any unlawful, harmful, or fraudulent purpose;
• submit information that is false or that belongs to someone else without permission;
• interfere with, disrupt, probe, scrape, or attempt to gain unauthorized access to the Service or its systems; or
• reverse engineer or misuse any part of the Service except as permitted by law.

7. Intellectual property

The Service, including its content, design, and software, is owned by Portionly or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes. All rights not granted are reserved.

8. Third-party trademarks; no affiliation

Medication names such as Ozempic®, Wegovy®, Mounjaro®, and Zepbound® are trademarks of their respective owners (including Novo Nordisk and Eli Lilly). Portionly is an independent product and is not affiliated with, endorsed by, or sponsored by any pharmaceutical company or trademark owner. These names are used only to describe compatibility and for identification.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY INFORMATION IT PROVIDES IS ACCURATE, COMPLETE, RELIABLE, OR UNINTERRUPTED.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PORTIONLY AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold Portionly harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service or violation of these Terms.

12. Governing law and disputes

Portionly is operated by NEWGEN SOLUTIONS S.R.L., a company established in Romania. These Terms are governed by the laws of Romania, without regard to conflict-of-laws rules, and the competent courts of Bucharest, Romania have jurisdiction over any dispute, except where mandatory law provides otherwise. Nothing in these Terms removes or limits any mandatory consumer-protection rights available to you under the laws of your country or state of residence, including U.S. state consumer-protection and privacy laws.

13. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above, and continued use of the Service after changes means you accept them.
